Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Clipvanta ("Company," "we," "us," or "our"), a media editing and digital content preparation service operating from Colorado Springs, Colorado. By engaging our services, submitting a project brief, making a payment, or otherwise accessing our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our services.

Section 01

Description of Services

Clipvanta provides professional media editing and digital content preparation services to individuals, businesses, brands, and creative professionals. Our services are production and editing-focused in nature and are designed to transform raw media assets into polished, platform-ready digital content. Clipvanta does not provide broadcasting, licensing, distribution, content strategy, or rights management services.

Our core service offerings include, but are not limited to, the following categories:

  • Video Editing for Digital Platforms — including structural editing, pacing, sequencing, and formatting of video materials for websites, social media, presentations, and online platforms.
  • Audio Editing Support — including basic audio file processing, noise reduction, level normalization, sound quality enhancement, and preparation of audio content for podcasts, digital projects, and presentations.
  • Post-Production Services — including the integration of subtitles, captions, and title cards; color correction and basic color grading; addition of motion graphics and visual overlays; and adaptation of content for multiple publication formats.
  • Digital Content Preparation — including preparation of media files for online publication, optimization and compression of visual assets, format conversion, batch processing, and delivery packaging for digital distribution channels.

All services are delivered digitally. The specific deliverables, file formats, resolution specifications, and delivery timelines for each project will be outlined in the project brief confirmation or written agreement exchanged between Clipvanta and the Client prior to commencement of work.

Clipvanta reserves the right to decline any project that, in our sole discretion, requires resources, tools, or expertise beyond our current service scope, or that conflicts with these Terms, applicable law, or our internal content standards.

Section 02

Engagement, Quotations & Project Commencement

All service engagements begin with a formal project brief submitted by the Client. This brief must include a clear description of the project scope, the raw assets to be processed, the desired deliverables, the target platforms or formats, and the requested timeline. Clipvanta will review each brief and respond within one (1) business day with a written quotation.

Quotations issued by Clipvanta are valid for fourteen (14) calendar days from the date of issuance. A quotation does not constitute a binding contract. A project is formally commenced only upon receipt of written acceptance of the quotation by the Client and receipt of any required deposit payment as specified in the quotation.

Clipvanta may require a deposit of up to fifty percent (50%) of the total project cost prior to initiating work on any project. The specific deposit amount and payment schedule will be outlined in the project quotation. Clipvanta reserves the right to pause or suspend work on any project where payment obligations have not been met in accordance with the agreed payment schedule.

Any material changes to the project scope, deliverables, or timeline requested by the Client after project commencement will be treated as a scope change. Scope changes may result in revised pricing, extended delivery timelines, or both. All scope changes must be agreed upon in writing before additional work is performed.

Section 03

Client Responsibilities & Provided Materials

The Client is solely responsible for providing all raw materials, assets, and information required for Clipvanta to perform the requested services. This includes, but is not limited to, video footage, audio recordings, graphic assets, brand guidelines, scripts, copy, and any other content elements required for completion of the project.

By providing materials to Clipvanta, the Client represents and warrants that:

  • You are the lawful owner of all provided materials, or you hold all necessary rights, licenses, clearances, and permissions required to use such materials and to authorize Clipvanta to process them on your behalf.
  • The provided materials do not infringe upon any third-party intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, or rights of publicity.
  • The provided materials do not contain any unlawful, defamatory, obscene, or otherwise objectionable content under applicable federal or state law.
  • You have obtained all necessary model releases, location releases, and any other releases or permissions required for the commercial use of any persons, locations, or third-party property depicted in the provided materials.
  • The provided materials do not contain any music, sound recordings, or audio compositions that are subject to third-party copyright or licensing requirements, unless you hold the applicable synchronization and/or master use licenses.

The Client agrees to provide all required materials in a timely manner and in a usable quality and format. Delays in the delivery of required materials by the Client will result in corresponding delays to the project delivery timeline. Clipvanta shall not be held responsible for delays caused by the Client's failure to provide materials on time or in an adequate format.

Clipvanta will handle all Client-provided materials with professional care and confidentiality. However, Clipvanta is not responsible for the loss, corruption, or damage of Client materials resulting from hardware failure, data corruption, or circumstances beyond our reasonable control. Clients are strongly advised to retain complete backup copies of all original materials prior to submission.

Section 04

Intellectual Property & Ownership of Deliverables

Upon receipt of full and final payment for a completed project, Clipvanta assigns to the Client all rights in and to the final edited deliverables produced by Clipvanta specifically for that project. This assignment includes all edits, color corrections, audio treatments, graphic elements created by Clipvanta, and the compiled final output files.

The Client acknowledges that this assignment covers only the final deliverable files and does not include any underlying software, tools, proprietary techniques, editing methodologies, intermediate project files, render cache files, or any proprietary workflow elements developed or used by Clipvanta in the course of providing the services.

Clipvanta retains full ownership of all internal project files, editing timelines, composition files, and workflow documentation generated during the production process. These assets are not included in the project deliverables and will not be transferred to the Client unless explicitly agreed upon in writing and reflected in a separate line item in the project quotation.

Any stock footage, stock audio, stock graphics, or third-party licensed assets incorporated into deliverables at the Client's request are subject to the licensing terms of the applicable content provider. The Client is responsible for ensuring that such licenses are appropriate for their intended use. Clipvanta makes no representation or warranty regarding the scope of any third-party licenses.

Clipvanta reserves the right to include completed work in our professional portfolio, case studies, and promotional materials, unless the Client specifically requests confidentiality in writing prior to project commencement. Confidentiality requests will be honored and documented in the project agreement at no additional charge.

Section 05

Payment Terms & Pricing

All prices for Clipvanta services are denominated in United States Dollars (USD). Pricing is determined on a per-project basis and will be outlined in the written quotation provided to the Client. Clipvanta reserves the right to update its standard pricing schedule at any time; however, any approved and accepted quotation will be honored at the quoted price for the duration of the specified project.

Payment obligations are as follows:

  • For projects with a total value below five hundred dollars ($500), payment in full is due prior to commencement of work.
  • For projects with a total value between five hundred dollars ($500) and two thousand dollars ($2,000), a fifty percent (50%) deposit is due prior to commencement, with the remaining balance due upon delivery of the final draft for Client review.
  • For projects with a total value exceeding two thousand dollars ($2,000), a milestone-based payment schedule will be established and outlined in the project agreement.

Final deliverable files will not be released to the Client until all outstanding payments have been received in full. Clipvanta reserves the right to charge a late payment fee of one and one-half percent (1.5%) per month on any outstanding balances that remain unpaid more than fifteen (15) calendar days after the due date.

All payments are non-refundable except as expressly provided in our Refund Policy, which is incorporated by reference into these Terms. In the event that Clipvanta is unable to complete a project due to circumstances on our end, any deposit paid by the Client for work not yet commenced will be returned in full.

Section 06

Revisions & Approval Process

Clipvanta includes a defined number of revision rounds in each project quotation. A "revision round" is defined as a single consolidated set of changes submitted by the Client in response to a delivered draft. Clipvanta requests that all revision feedback be submitted in a single, comprehensive document or message per round, rather than incrementally, in order to maintain project efficiency.

Standard project quotations typically include two (2) rounds of revisions. Additional revision rounds beyond the included number will be billed at an hourly rate as specified in the project quotation, or at a flat rate agreed upon in writing between the parties.

Revision requests must be submitted in writing within five (5) business days of delivery of each draft. If no revision request is received within this period, Clipvanta will treat the delivered draft as approved and will proceed to final delivery. Client approval, whether express or implied by the passage of the review period, constitutes acceptance of the delivered work.

Revisions are limited to reasonable adjustments within the originally agreed scope. Revision requests that constitute a material change in scope — including but not limited to requests for structural re-edits after a structural edit has been approved, changes to the project concept, or addition of new content elements — will be treated as scope changes and will be quoted separately.

Section 07

Delivery Timelines & Force Majeure

Clipvanta is committed to delivering all projects on schedule. Standard turnaround time is typically forty-eight (48) hours for short-form projects and five (5) to ten (10) business days for full-scale productions, subject to the scope and complexity of each project. Specific delivery timelines will be confirmed in the project quotation.

Delivery timelines begin from the date of project commencement — defined as the date on which both the required deposit payment and all necessary Client materials have been received by Clipvanta. Delays caused by late delivery of materials, late payment, or delayed Client feedback and approvals will extend the delivery timeline accordingly.

Clipvanta shall not be liable for delays in delivery caused by circumstances beyond our reasonable control, including but not limited to natural disasters, widespread internet outages, power failures, strikes, government actions, pandemics, or other force majeure events. In the event of a force majeure delay, Clipvanta will notify the Client as promptly as reasonably possible and will make commercially reasonable efforts to complete the project as soon as conditions permit.

Rush delivery services may be available for certain project types and will be subject to a rush fee as specified in the applicable quotation. Rush fee rates will vary based on the timeline and scope of the requested rush delivery.

Section 08

Limitation of Liability & Disclaimer of Warranties

CLIPVANTA PROVIDES ALL SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLIPVANTA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Clipvanta does not warrant that the services will meet the Client's specific expectations with respect to creative or aesthetic outcomes, as creative work involves subjective judgment, and reasonable individuals may have different perceptions of quality and appropriateness. Our obligation is to deliver professional, industry-standard work in accordance with the specifications outlined in the project brief and quotation.

In no event shall Clipvanta's total aggregate liability to the Client for any and all claims arising out of or related to these Terms or the services — whether based on contract, tort, statute, or any other legal theory — exceed the total amount paid by the Client to Clipvanta for the specific project giving rise to the claim during the twelve (12) month period immediately preceding the claim.

Clipvanta shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or loss of goodwill, arising out of or related to these Terms or the services, even if Clipvanta has been advised of the possibility of such damages.

Section 09

Confidentiality

Each party agrees to maintain the confidentiality of any non-public, proprietary, or sensitive information disclosed by the other party in connection with a project ("Confidential Information"). Confidential Information includes, but is not limited to, Client business strategies, marketing plans, product concepts, unpublished media assets, internal communications, pricing structures, and any information that a reasonable person would consider confidential given the circumstances of its disclosure.

Neither party shall disclose the other party's Confidential Information to any third party without the prior written consent of the disclosing party, except to employees, contractors, or professional advisors who have a legitimate need to know such information in order to facilitate the services and who are bound by confidentiality obligations at least as protective as those set forth herein.

These confidentiality obligations shall not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law or court order, provided that the receiving party provides reasonable prior notice to the disclosing party and cooperates with any efforts to seek a protective order.

Confidentiality obligations under these Terms shall survive the termination or expiration of any project or service engagement for a period of three (3) years.

Section 10

Governing Law & Dispute Resolution

These Terms, and any disputes arising out of or related to these Terms or the services provided by Clipvanta, shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America, without regard to its conflict of law principles.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, the parties shall first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party. The parties shall have thirty (30) calendar days from the date of such notice to attempt to resolve the dispute informally.

If the parties are unable to resolve the dispute through informal negotiation within the thirty (30) day period, any unresolved dispute shall be submitted to binding arbitration administered in Colorado Springs, Colorado, in accordance with the applicable rules of the American Arbitration Association. The arbitration shall be conducted in the English language by a single neutral arbitrator. The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek emergency equitable relief from a court of competent jurisdiction in El Paso County, Colorado, to prevent irreparable harm pending the conclusion of the arbitration process.

Section 11

Modifications to These Terms

Clipvanta reserves the right to update, modify, or revise these Terms of Service at any time, at our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of this document and, where appropriate, by sending notice to Clients with active project engagements.

Your continued use of our services or website following the posting of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using our services and notify us in writing. Any modifications will not apply retroactively to projects already in progress under previously accepted Terms, except where required by applicable law.

We encourage you to review these Terms periodically to stay informed of your rights and obligations when engaging with Clipvanta.

Section 12

Miscellaneous Provisions

Entire Agreement. These Terms, together with any project quotation, brief confirmation, or written agreement executed between the parties, constitute the entire agreement between Clipvanta and the Client with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, warranties, and understandings.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. All remaining provisions shall continue in full force and effect.

No Waiver. Clipvanta's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver by either party of any breach or default shall not be deemed a continuing waiver of such breach or any other breach.

Assignment. The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of Clipvanta. Clipvanta may assign or transfer these Terms or any of our rights hereunder in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets.

Independent Contractors. The parties are independent contractors. Nothing in these Terms shall be construed to create an employment relationship, partnership, joint venture, or agency between Clipvanta and the Client or any of the Client's employees or representatives.
